SoundBite Communications Buys SmartReply

June 8 , 2011 - SoundBite Communications, Inc. (SDBT: News ) said Wednesday that it has acquired key assets of SmartReply, a pioneer in mobile marketing, for $3.2 million in cash paid at closing and an earn-out provision.

The earn-out will be paid annually, over the next three years, based upon year-over-year revenue growth. The deal also includes traditional terms such as escrow funds, indemnifications, and warranties by the sellers.
